The board of Nazara Technologies at its meeting held on 12 October 2026 has approved the allotment of 2,38,81,711 fully paid-up equity shares of face value of Rs 2/- each at an issue price of Rs 306/- per equity share (including a premium of Rs 304/- per equity share) (Issue Price), on a preferential basis by way of private placement.

Consequent to the aforesaid allotment, the issued, subscribed and paid-up equity share capital of the Company stands increased from Rs 76,93,92,048/- comprising 38,46,96,024 equity shares of Rs 2/- each to Rs 81,71,55,470/- comprising 40,85,77,735 equity shares of Rs 2/- each.
