| Initial public issue of 6,80,000 equity shares of face value of (Rs) 10/- each ("Equity Shares") of Vruddhi Engineering Works Limited ("The Company" or the "Issuer") for cash at a price of (Rs) 70 per equity share (the "Issue Price"), (including a premium of (Rs) 60 per equity share), aggregating
(Rs) 4.76 crores ("The Issue"), of which 36,000 equity shares of face value of (Rs) 10/- for cash at a price of (Rs) 70 each aggregating (Rs) 0.25 crores will be reserved for subscription by market maker to the issue (the "Market Maker Reservation Portion"). The issue less market maker reservation portion i.e. issue of 6,44,000 equity shares of face value of (Rs) 10/- each for cash at a price of (Rs) 70 per equity share, aggregating to (Rs) 4.51 crores is here in after referred to as the "Net Issue". The issue and the net issue will constitute 26.95% and 25.52% respectively of the post issue paid up equity share capital of the company.
