| Initial public offer of 630000 equity shares of face value of (Rs) 10 each ("Equity Shares") of Pearl Green Clubs and Resorts Limited ("Company" or "Issuer") for cash at a price of (Rs) 186 per equity share (including a share premium of (Rs) 176 per equity share) aggregating up to (Rs) 11.72 crores ("Issue") of which 36000 equity shares of face value (Rs) 10 each for cash at a price of (Rs) 186 per equity share aggregating (Rs) 0.67 crores will be reserved for subscription by the market maker to the issue (the "Market Maker Reservation Portion"). The issue less market maker reservation portion i.e. issue of 594000 equity shares of face value of (Rs) 10 each for cash at a price of (Rs) 186 per equity share, aggregating (Rs) 11.05 crores is hereinafter refered to as the "Net Issue". The issue and the net issue will constitute 26.61% and 25.09%, respectively of the post issue paid up equity share capital of the company.
