| Initial public offer of 1,00,00,000 equity shares of face value of (Rs) 10/- each ("Equity Shares") of Healthy Life Agritec Limited (the "Company" or the "Issuer") for cash at a price of (Rs) 10/- per equity share, at par (the "Issue Price"), aggregating to (Rs) 10.00 crores ("The Issue"), of which 5,00,000 equity shares of face value of (Rs) 10/- each for cash at a price of (Rs) 10/- per equity share, aggregating to (Rs) 0.50 crores will be reserved for subscriptions by the market maker to the issue (the "Market Maker Reservation Portion"). The issue less market maker reservation portion i.e. issue of 95,00,000 equity shares of face value of (Rs) 10/- each for cash at a price of (Rs) 10/- per equity share, aggregating to (Rs) 9.50 crores is hereinafter referred to as the "Net Issue". The issue and the net issue will constitute 45.43% and 43.16% respectively of the post issue paid-up equity share capital of the company.
